Spartan Motors to acquire Smeal

CHARLOTTE, Mich., Dec. 13, 2016 /PRNewswire/ — Spartan Motors, Inc. (NASDAQ: SPAR) (“Spartan” or the “Company”), a global leader in specialty chassis and vehicle design, manufacturing, and assembly, today announced its wholly-owned subsidiary, Spartan Motors USA, Inc., has entered into a definitive agreement to acquire Smeal Fire Apparatus Co. (“Smeal”), an industry-leading innovator and manufacturer of fire apparatus in North America, and its subsidiaries for $36.3 million, subject to certain net working capital adjustments, the Company’s forgiveness of certain liabilities owed by Smeal to the Company, and a subsequent tax gross-up payment, which is expected to be more than offset by tax benefits accruing to the Company. The acquisition will enable Spartan Motors to strengthen its Emergency Response business, gain scale and geographic reach in the industry, and accelerate its Emergency Response business unit turnaround plan. The transaction is expected to close in January 2017, subject to customary closing conditions.

Smeal is expected to generate 2016 revenues of approximately $100 million, which includes approximately $30 million of Spartan chassis sold to Smeal.  The newly combined Spartan Emergency Response business unit will rank as one of the top-four North American fire apparatus manufacturers and will be well positioned, in an increasingly consolidating industry, to provide a robust and respected portfolio of leading products, services, and technologies. Today, Spartan’s Emergency Response business unit engineers and builds fire truck cabs and chassis for many of the industry’s leading original equipment manufacturers (OEMs), including Smeal, as well as designs and manufactures complete fire apparatus. The acquisition of Smeal is a logical next step in the longstanding relationship between the two companies, which spans more than 30 years.

Acquisition Highlights:

  • Smeal is expected to add approximately $70 million in annual revenue (excludes $30 million of Spartan chassis sold to Smeal) to the Company’s Emergency Response segment, and positions Spartan Emergency Response as one of the top-four fire apparatus manufacturers in the U.S. and Canada
  • Smeal is expected to generate positive EBITDA in 2016
  • The transaction will be initially financed with Spartan Motors’ recently amended $100 million line of credit

FDIC 2015 (more)

Smeal sells first Tele-Squrt from the Snorkel acquisition

Medina, Ohio, purchases first upgraded TeleSqurt® Telescoping Aerial Boom since acquisition by Smeal Fire Apparatus Co.

Smeal Fire Apparatus Co. announced …that [the] Medina Fire Department in Ohio, has purchased the first 65-foot TeleSqurt®  Telescoping Aerial Boom to be sold since their acquisition of the assets of LTI in June.   The new TeleSqurt is scheduled to be delivered in late spring.

The new 65-foot TeleSqurt features a three-section extruded aluminum box boom with dual A-frame-style stabilizers with a spread of just 11’9”. The TeleSqurt is equipped with a 1,500-gpm Waterous pump, 750-gallon water tank and is capable of flowing 1,000 gpm at the tip with a low overall travel height of 11’9”. Medina’s new TeleSqurt rides on a Smeal™ Sirius® chassis with a 199-inch wheelbase.

“The TeleSqurt seemed to be a perfect fit for our department.  It gives us one-person operation.  It’s more compact than a traditional aerial and provides the elevated master stream and rescue capability that we need,” said Fire Chief Bob Painter.

Winnetka buys new engine

The Winnetka Village Council on Tuesday unanimously approved the purchase of a $568,722 fire engine, and an appreciative local resident stepped up and offered to pay for the new vehicle’s bell.

Winnetka Fire Chief Alan Berkowsky said the purchase of a 2015 pumper fire engine from the village’s sole bidder, Smeal Fire Apparatus Company, is needed to maintain a reliable fleet, as the fire department is retiring a fire engine purchased in 1996.

The village will save roughly $17,000 by using Smeal’s pre-payment option, Berkowsky said, and the fire engine’s price is also less than the $615,000 the fire department had budgeted for the purchase.

The new fire engine will be rotated with a fire engine the department purchased in 2000, while officials hope to sell the 1996 vehicle for roughly $30,000, Berkowsky said.

Stepping up following the council’s unanimous approval of the purchase of the fire engine, Winnetka resident John Roberts expressed his gratitude to the fire department, which he said recently assisted his family during an emergency at their home. “I’d like to provide a bell in honor of the Winnetka firefighters from the past present and future,” Roberts said. “We had an occasion for the fire department to visit, and they were overwhelmingly professional and courteous, and showed kindness and empathy,” said Roberts, who did not specify the amount of his donation, nor the cost of the fire bell.
